Terms of Service

1. Acceptance of Terms

By accessing or using the Healthcare Relationship Management ("HRM") platform, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Service

HRM provides a cloud-based platform for funeral homes to manage healthcare referral relationships, track outreach activity, and monitor referral performance. We reserve the right to modify, suspend, or discontinue any part of the service at any time.

3. Account Registration

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized access to your account
  • One person or entity may not maintain more than one account without prior approval

4. Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the platform
  • Interfere with or disrupt the service or its infrastructure
  • Upload malicious code, viruses, or harmful data
  • Resell, sublicense, or redistribute access to the platform without authorization
  • Use the platform to store or transmit protected health information (PHI) unless covered by a separate agreement

5. Subscription and Payment

  • Access to HRM requires an active paid subscription
  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law or as stated in our refund policy
  • We reserve the right to change pricing with 30 days' advance notice
  • Failure to pay may result in suspension or termination of your account

6. Your Data

You retain ownership of all data you enter into the platform. We do not claim any intellectual property rights over your content. You grant us a limited license to host, store, and process your data solely to provide and improve our services.

Upon account termination, you may request an export of your data within 30 days. After that period, we may delete your data in accordance with our Privacy Policy.

7. Intellectual Property

The HRM platform, including its design, code, features, and documentation, is owned by HRM and protected by intellectual property laws. You may not copy, modify, reverse engineer, or create derivative works from any part of our platform.

8. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by law, HRM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the service. Our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless HRM and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the service, violation of these terms, or infringement of any third-party rights.

11. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you violate these terms. Upon termination, your right to use the service ceases, though provisions that by their nature should survive (such as limitations of liability and indemnification) will remain in effect.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated terms on this page. Your continued use of the service after changes take effect constitutes acceptance of the revised terms.
